Terms of Service

1. About these Terms

These Terms of Service ("Terms") are a binding agreement between you and Vibe3D ("Vibe3D", "we", "us", "our"), the operator of the Vibe3D platform. They govern your access to and use of the Vibe3D web application, its APIs, and all related features and integrations (together, the "Service").

Vibe3D is operated by [registered company name, company number and registered address — to be completed by the operator]. By creating an account, accessing, or using the Service you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

If you are entering into these Terms on behalf of a business or other organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.

2. The Service

Vibe3D is a commerce-operations application for businesses that manufacture and sell physical products — particularly 3D-printing businesses. It helps you manage stock, listings, orders, production, batch traceability, compliance and invoicing, and to synchronise commerce data across the sales channels you choose to connect.

The Service is provided on a software-as-a-service basis. We may add, change, or remove features over time. We will give reasonable notice of material changes that adversely affect your use of the Service.

3. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account and workspace, including activity by team members you invite.

You must notify us promptly at hello@vibe3d.co.uk if you become aware of any unauthorised use of your account or any other security breach affecting the Service.

4. Plans, trials, fees and billing

Vibe3D is offered on subscription plans. New workspaces may include a free trial period; unless you cancel before the trial ends, the workspace converts to a paid subscription at the plan rate then in effect.

Subscription fees are billed in advance through our payment processor. Fees are non-refundable except where required by law. We may change our prices on reasonable prior notice; changes take effect at your next renewal. You are responsible for any taxes associated with your subscription other than taxes on our income.

5. Acceptable use

When using the Service, you agree that you will not:

  • Use the Service in breach of any applicable law or regulation, or in breach of the terms, policies or acceptable-use rules of any sales channel you connect.
  • Upload or process content you do not have the right to use, or that infringes the intellectual property, privacy, or other rights of any third party.
  • Attempt to gain unauthorised access to the Service, other users' data, or our underlying systems; probe, scan, or test the vulnerability of the Service; or interfere with its normal operation.
  • Reverse engineer, decompile, or attempt to derive the source code of the Service except to the extent this restriction is prohibited by law.
  • Resell, sublicense, or otherwise make the Service available to third parties except as expressly permitted by your plan.
  • Use the Service to send spam or unsolicited messages, or to transmit malicious code.

6. Connected sales channels and third-party platforms

The Service lets you connect third-party platforms such as Shopify, Etsy, Amazon, eBay, TikTok Shop, Meta, Faire, Wix and WooCommerce ("Channels"). When you connect a Channel, you authorise Vibe3D to access and exchange data with that Channel on your behalf, under your instruction, to provide the Service.

Your use of each Channel remains governed by that Channel's own terms and policies. You are responsible for holding the necessary accounts and permissions, and for complying with each Channel's rules. Channels are operated independently of Vibe3D; we are not responsible for their availability, accuracy, or actions, and a Channel may change or withdraw its integration capabilities at any time.

Etsy. The term ‘Etsy’ is a trademark of Etsy, Inc. This Application uses Etsy’s API, but is not endorsed or certified by Etsy. Vibe3D is an independent product and is not affiliated with, sponsored by, or endorsed by Etsy, Inc. All other Channel names and logos are trademarks of their respective owners.

7. Your data and privacy

As between you and us, you retain all rights in the data you and your team submit to the Service and in the Channel-derived data processed on your behalf ("Your Data"). You grant us a limited licence to host, process, and transmit Your Data solely to provide and support the Service.

Where we process personal data relating to your customers or other individuals on your behalf, we act as a processor (or service provider) and you act as the controller. You are responsible for having a lawful basis and an appropriate privacy notice for that data. Our handling of personal data is described in our Privacy Policy.

8. Intellectual property

The Service, including its software, design, and content (other than Your Data), is owned by Vibe3D or its licensors and is protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms for the duration of your subscription. We retain all rights not expressly granted.

If you send us feedback or suggestions, we may use them to improve the Service without restriction or obligation to you.

9. Availability and support

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. Maintenance, Channel outages, and factors outside our reasonable control may affect availability.

Support is provided by email at hello@vibe3d.co.uk. We aim to respond to support requests in a reasonable and timely manner.

10. Warranties and disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that data synchronised from a Channel will be complete, accurate, or current.

The following disclaimer applies specifically to the Etsy integration, in accordance with the Etsy API Terms of Use:

Disclaimer: This Application is solely provided by Vibe3D (the "Application Developer"). You acknowledge that Etsy, Inc. and its affiliates are not the Application Developer, do not provide the Application service, and make no warranties of any kind with respect to the Application or data accessed through it.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence or for fraud.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or the Service.

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms or the Service will not exceed the total fees you paid to us for the Service in the twelve (12) months immediately before the event giving rise to the liability.

12. Indemnification

You agree to indemnify and hold harmless Vibe3D and its officers, employees, and contractors from any claims, losses, liabilities, and reasonable expenses (including legal fees) arising out of Your Data, your use of the Service, your use of any connected Channel, or your breach of these Terms or of any applicable law or Channel policy.

13. Suspension and termination

You may stop using the Service and cancel your subscription at any time from your workspace settings. We may suspend or terminate your access if you materially breach these Terms, if required by law, if a Channel requires it, or to protect the Service or other users — where practicable, we will give notice and an opportunity to resolve the issue first.

On termination, your right to use the Service ends. We will make Your Data available for export for a limited period and then delete it in accordance with our Privacy Policy, unless we are required by law to retain it. Terms that by their nature should survive termination (including Sections 7, 8, 10, 11, 12 and 15) will survive.

14. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give reasonable notice by email or in-app before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you should stop using the Service.

15. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them, except that we may seek injunctive relief in any competent jurisdiction. Nothing in this section affects any statutory rights you may have as a consumer.
